La SEC se plantea revisar el uso de las delegaciones de los accionistas:
“First up this Wednesday will be an agency request for public comment on whether it should propose rules to ensure that companies provide their investors with additional information about shareholder votes.SEC officials want to know whether the millions of votes cast each year supporting and opposing corporate board candidates are being accurately tabulated — and whether companies are able to communicate effectively with shareholders about when shares may be voted by brokers and mutual funds on behalf of individual investors”.
“The agency is also moving ahead with a proposal to make it easier for shareholders to team up to nominate directors to corporate boards, an issue known as proxy access. Today, this is very difficult at most companies. The SEC has released a proposal that would let shareholders who have invested in a company for a long time nominate directors.Corporate America has long resisted expanding proxy access out of concern that investors backed by environmental or union interests would attempt to hijack the board nomination process. And advocates for the nation’s business community, such as the Chamber of Commerce, stand ready to sue if there are any weaknesses in the rule passed by the SEC.
The threat of a defeat in court has delayed the agency’s effort to pass new proxy access rules, which were originally supposed to be in place for the corporate voting season this past spring”.
Completando la información transcrita, la SEC colgó en su web el pasado día 14 un documento CONCEPT RELEASE ON THE U.S. PROXY SYSTEM, de más de 150 páginas y sobre el que solicita comentarios públicos en el plazo de 90 días. La finalidad de esa consulta la explica en su primera página:
“The Commission is publishing this concept release to solicit comment on various aspects of the U.S. proxy system. It has been many years since we conducted a broad review of the system, and we are aware of industry and investor interest in the Commission’s consideration of an update to its rules to promote greater efficiency and transparency in the system and enhance the accuracy and integrity of the shareholder vote. Therefore, we seek comment on the proxy system in general, including the various issues raised in this release involving the U.S. proxy system and certain related matters”.
Dado que el asunto tiene una enorme trascendencia para la América corporativa (para sus protagonistas, para su funcionamiento y para sus supervisores), existe un abundante material de debate que se ha acumulado en estos años. Una muestra cualificada puede encontrarse en la Proxy Access Roundtable que organizó el pasado mes de octubre de 2009 el Programm of Corporate Governance de la Harvard Law School, cuyas sesiones matutinas llevaban como título la pregunta Should the SEC Provide a Proxy Access Regime?. El debate fundamental entonces era si el sistema de representación reclamaba una intervención del supervisor o si debía dejarse a la autorregulación. La respuesta empieza a perfilarse.
